Organizations Filed Purposes: TO EDUCATE OUR MEMBERS AND THE PUBLIC ABOUT EFFECTIVE CORPORATE GOVERNANCE, SHAREOWNER RIGHTS, AND RELATED INVESTMENT ISSUES AND TO ADVOCATE ON OUR MEMBERS' BEHALF.

EDUCATE/ADVOCATE FOR EFFECTIVE CORP GOV, STRONG PUBLIC CO DISCLOSURE AND FAIR CAPITAL MARKETS.

EDUCATION AND RESEARCH: In 2019, CII hosted two national conferences (in Washington, D.C. and in Minneapolis), a seminar in New York City on how boards foster innovation and a roundtable in New York on executive compensation. The conferences included trustee training, master classes and a shareholder-company Engagement Exchange. CII conducted numerous podcasts, webinars and teleconferences during the year on a wide range of topics related to corporate governance, shareholder rights and fair and effective capital markets. CII published on a weekly schedule the CII Governance Alert member newsletter. CII also provided members and the public with numerous resources on its website. CII staff presented frequently at conferences and at regulatory and legislative forums.

ADVOCACY AND ENGAGEMENT: CII members met twice in 2019 and approved a revised policy on executive compensation and a revision to the bylaws on the use of union hotels for members' meetings. CII worked throughout the year to defend shareholder rights and protections, especially the freedom to obtain independent proxy advice and the right to file shareholder proposals. CII also defended the right of shareholders to seek resolution of disputes in court rather than being forced to arbitrate them. CII continued to press for public companies with dual-class stock structures to adopt "sunset" provisions to revert to one-share, one-vote structures within seven years. CII petitioned the Securities and Exchange Commission (SEC) to require public companies to explain their use of metrics for determining CEO pay that do not conform to U.S. generally accepted accounting principles. CII petitioned the SEC separately for transparency of funding of consolidated market data. CII filed two amicus briefs: one in Delaware Supreme Court opposing corporate bylaw provisions that require shareholder litigation to take place in a single judicial forum, and one jointly with the Investment Company Institute in the U.S. Court of Appeals for the District of Columbia in support of denying stock exchange petitions for review of the SEC's transaction fee pilot. CII submitted 51 comment letters (to Congress, the SEC, stock exchanges and other entities) on a range of topics, and also wrote letters to hundreds of companies asking them to act on matters requested in shareholder proposals that received majority support, to dismantle dual-class stock structures and to ensure shareholder access to annual meetings. CII also presented testimony to the SEC.
