TRPIL PROVIDES TO AFFILIATED ORGANIZATIONS COMPREHENSIVE SUPPORT SERVICES WHICH INCLUDE A)THE DEVELOPMENT OF SATELLITE FACILITIES, JOINT VENTURES, EDUCATIONAL SERVICES, HOME HEALTH CARE SERVICES, AND HOUSING OPPORTUNITIES FOR PERSONS WITH DISABILITIES; B)THE FACILITATION AND COORDINATION OF HEALTH, SCIENTIFIC AND EDUCATIONAL RESOURCES C)OTHER WORK AS MAY BE NECESSARY TO CARRY OUT THE PURPOSES ENUMERATED ABOVE, INCLUDING PURCHASING AND LEASING EQUIPMENT AND PROPERTY, REAL OR PERSONAL, RENDERING CONSULTATION, ADVICE, EDUCATION AND TRAINING SERVICES, AND PROVIDING TECHNICAL ASSISTANCE TO ORGANIZATIONS WHICH QUALIFY AS EXEMPT FROM FEDERAL INCOME TAXATION UNDER CODE SECTION 501.
TRPIL ACQUIRED GOODWILL IN THE AUGUST 31, 2017 PURCHASE OF 100% OF THE COMMON STOCK OF PRIVATE CARE RESOURCES, INC., D/B/A VFI HOME HEALTH. GENERALLY ACCEPTED ACCOUNTING PRINCIPLES REQUIRE GOODWILL TO BE SUBJECT TO AN ASSESSMENT FOR IMPAIRMENT ON AT LEAST AN ANNUAL BASIS. IF THE FAIR VALUE OF THE REPORTING UNIT IS LESS THAN ITS CARRYING VALUE AT THE VALUATION DATE, AN IMPAIRMENT LOSS SHOULD BE RECORDED TO THE EXTENT THAT THE FAIR VALUE OF THE GOODWILL WITHIN THE REPORTING UNIT IS LESS THAN ITS CARRYING VALUE. AN ASSESSMENT OF IMPAIRMENT WAS MADE BASED ON THE FINANCIAL RESULTS OF TRPIL HOME HEALTH THROUGH JUNE 30, 2019. A (674,084) LOSS ON IMPAIRMENT OF GOODWILL WAS RECOGNIZED TO WRITE THE GOODWILL DOWN TO -0-.
